PLAYER PERMISSION AGREEMENT

This Player Permission Agreement ("Agreement") is entered into this date when the game was downloaded and a username/hash identification issued, by and between the Company BEPOSITIVE GAMING LTD. And you the Player. Collectively referred to as the "Parties."

WHEREAS, Company is the owner of proprietary online word game software and all related materials (the word game "BEPOSITIVE");

WHEREAS, Player desires to play the Game, and Company is willing to grant permission to Player to access and use the Game subject to the terms and conditions set forth herein.

NOW, THEREFORE, in consideration of the mutual covenants contained herein and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

The Company hereby grants the player a non-exclusive, non-transferable permission to use the Word Game solely for personal entertainment, non-commercial purposes. This permission is limited to gameplay and does not include the right to modify, reproduce, distribute, or create derivative works based on the Word Game.

The Company retains all right, title, and interest in and to the Word Game BEPOSITIVE, including all intellectual property rights but not limited to trademarks, copyrights, and trade secrets. The Player acknowledges that it has no ownership rights in the Word Game, except for the permission granted herein to play.

The player confirms he/she/they/them will not copy or reproduce this game for personal gain and benefit and all intellectual property of the game remains the ownership of BEPOSITIVE GAMING LTD..

Player represents and warrants that they are at least 8 ( eight ) years old. If Player is under the age of 8 ( eight ), Player's parent or legal guardian must review and accept this Agreement on their behalf.

Player may be required to create a user account to access the Game. Player agrees to provide accurate and complete information during the account creation process and to keep their account credentials confidential.

Player agrees to abide by the Game's code of conduct, which includes, but is not limited to, refraining from engaging in any disruptive, disrespectful, or harmful behaviour towards other players.

This agreement is effective as of the date when the game was downloaded and a username/hash identification issued and shall continue in perpetuity.

The Word Game BE POSITIVE is provided "as is," and Company makes no warranties, express or implied, regarding the performance, functionality, or availability of the Game.

In no event shall Company be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with Player's use of the Game BEPOSITIVE.

This Agreement shall be governed by and construed in accordance with the laws of the state of ENGLAND, without regard to its conflict of laws principles.

IN WITNESS WHEREOF, the Parties hereto have executed this Player Permission Agreement as of the Effective Date first above written.
